Board of Directors of Grupo Famsa, S.A.B. de C.V.

The Board of Directors of Grupo Famsa constitutes its main management body and is comprised by nine Directors (five are independent, in accordance with the Mexican stock market regulation).

The Directors of the Board and their respective Alternates shall be appointed by the Company’s General Ordinary Shareholders Meeting and shall hold office for one-year terms; they shall be eligible for re-election at the end of their term. Founder and Chairman of the Board of Directors of Grupo Famsa

Mr. Humberto Garza Valdez holds 32 years of experience at Grupo Famsa, and he is the son of Mr. Humberto Garza Gonzalez (our founder). During the last 21 years, Mr. Garza Valdez has performed as our CEO, and has previously served as our Deputy CEO. He holds a Bachelor’s degree in Administration from the University of Monterrey (Universidad de Monterrey – “UDEM”) and a Master’s in Management from the Pan-American Institute for High Business Management (Instituto Panamericano de Alta Direccion de Empresa – “IPADE”).

Mr. Hernan Garza Valdez holds 30 years of experience at Grupo Famsa, and he is the son of Mr. Humberto Garza Gonzalez (our founder). Mr. Garza Valdez performs as our Strategic Planning Director. He holds a Bachelor’s degree in Economics from the Monterrey Institute of Technology and Higher Education (Instituto Tecnologico y de Estudios Superiores de Monterrey – “ITESM”). He has a Master's degree in Business Administration from the University of Notre Dame, as well as a Master's degree in Information Systems from the ITESM.

Mr. Oziel Garza Valdez holds 24 years of experience in Grupo Famsa, and he is the son of Mr. Humberto Garza Gonzalez (our founder). For the last 18 years, Mr. Garza Valdez has performed as Managing Director of our clothing and footwear business. He also previously served as Commercial Director of the Monterrey Zone. He holds a Bachelor’s degree in Administration from the UDEM, and a Master’s in Administration from the IPADE.

Mr. Jose Luis Ochoa Bautista has over 15 years of experience in the Mexican financial system. He currently serves as director and consultant of several financial institutions. He acted as Executive Secretary at the Mexican Bank Savings Protection Institute (Instituto para la Proteccion al Ahorro Bancario – “IPAB”) for two years, as Credit Manager at the Mexican National Works and Public Services Bank (Banco Nacional de Obras y Servicios Publicos – “Banobras”) for four years, and as VP of Supervision at the Mexican National Banking and Securities Commission (Comision Nacional Bancaria y de Valores – “CNBV”) for five years. He has been an adviser of the World Bank and the Inter-American Development Bank, as well as commissioner, director and/or member of the Technical Committee for the following institutions: Nacional Financiera (“Nafin”), National Exterior Commerce Bank (Banco Nacional de Comercio Exterior – “Bancomext”), Mexican National Army, Air Force and Navy Bank (Banco Nacional del Ejercito Fuerza Aerea y Armada – “Banjercito”), FINA, Mexican Commercial Development Fund (Fondo para el Desarrollo Comercial, an extinct trust known as “Fidec”), Patronato del Ahorro Nacional (institution which transformed into the Banco del Ahorro Nacional y Servicios Financieros, the Mexican National Savings and Financial Services Bank, known as “Bansefi”), Agroasemex (a Mexican rural insurer and reinsurer), and Auxiliary Credit Institutions and Organizations Liquidator Trust (Fideicomiso Liquidador de Instituciones y Organizaciones Auxiliares de Credito – “Fideliq”). He has also been a member of the Board of Governors of the CNBV, the National Commission for Retirement Savings (Comision Nacional del Sistema de Ahorro para el Retiro – “CONSAR”), the National Insurance and Bonding Commission (Comision Nacional de Seguros y Fianzas – “CNSF”), and the Management Service and Property Disposal Department (Servicio de Administracion y Enajenacion de Bienes – “SAE”). Mr. Ochoa holds a Bachelor’s degree in Economics from the National Autonomous University of Mexico (Universidad Nacional Autonoma de Mexico – “UNAM”) and an MBA in Finance from the MIT Sloan School of Management, as well as a certificate in Management and Leadership from the same institution.

Mr. Roberto Gutierrez Garcia worked in Grupo Financiero BBVA Bancomer from 1982 to 2002, holding different positions, including Director of Audit which he held for the last 10 years before his departure from the group. Subsequently, from 2003 to 2016, he joined the National Workers Housing Fund Institute (Instituto de Fondo Nacional de la Vivienda para los Trabajadores –“INFONAVIT”), where he occupied the position of Chief Audit Executive for the last 10 years before his departure from the institution. Mr. Gutierrez is a CPA from the School of Banking and Commerce (Escuela Bancaria y Comercial – “EBC”), he also holds a Certified Internal Auditor (“CIA”) certification from the Institute of Internal Auditors (“IIA”), as well as several Diplomas in Comprehensive Audit, Financial and Credit Risk Management, and Corporate Governance from universities such as the UNAM, the Mexico Autonomous Institute of Technology (Instituto Tecnologico Autonomo de Mexico – “ITAM”), and the Anahuac University (Universidad Anahuac – “UA”).

Mr. Salvador Kalifa Assad has been a member of the Board of Grupo Famsa since 1997 and of Banco Famsa since 2007. He currently heads his own company, Consultores Economicos Especializados, S.A. de C.V., and conducts analysis for the “Alto Nivel” magazine and several Mexican newspapers where he writes editorial columns. Mr. Kalifa acted as Director of Economic Studies at Grupo Alfa for seven years, and also served at Grupo Financiero GBM-Atlantico. Additionally, he has been a member of the Board of Directors at Grupo IMSA, Verzatec and Banorte. He holds a Bachelor’s degree in Economics from the ITESM and a Master’s and PhD in Economics from Cornell University.

Mr. Jorge Luis Ramos Santos has been a member of the Board of Grupo Famsa since 2006 and of Banco Famsa since 2015. He currently acts on behalf of Heineken Americas in its joint ventures and is also a senior strategic advisor of this company. He has also served as Deputy Regional President for Heineken Americas, CEO of Cerveceria Cuauhtemoc Moctezuma, as well as Human Resources and Commercial Senior Vice-President for FEMSA Cerveza. He is currently a member of the Board of Directors of several companies in Mexico and Latin America, as well as business organizations and universities in Mexico. He holds a Bachelor’s degree in Accounting and Business Administration from the ITESM, and an MBA from the Wharton School of the University of Pennsylvania.
